SeaOpen LLC
Terms of Service
Please read these terms carefully before using SeaOpen's services. They govern our relationship and your legal rights.
Last updated: October 30, 2026
1. Acceptance of Terms
By accessing or using the services provided by SeaOpen LLC ("SeaOpen", "we", "us", or "our"), including our website, software, the Captain AI service and its AI agents (the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
We may update these Terms from time to time. We will post the new version on this page with a new date, and for material changes to a paid service we will notify active customers by email before the change takes effect. Your continued use of the services after a change constitutes your acceptance of the new Terms.
2. The Service
SeaOpen Captain is software: an AI service, offered by subscription, that runs parts of your business online — answering customers, monitoring and maintaining your website, managing ad campaigns and reviews, and reporting to you.
Customers who work with SeaOpen under a separate signed agreement are governed by that agreement; where it conflicts with these Terms, the agreement controls.
3. Captain: plan, credits and wallet
- Captain is offered as a monthly plan. The plan includes a monthly allowance of credits, as shown on the pricing page at the time you subscribe.
- Every task Captain performs uses credits according to the work it required. We record the credits each task used and can show you the breakdown at any time.
- Unused credits and any wallet balance stay in your account and do not expire while your account is open.
- You may add credits to your wallet at any time.
- You may cancel the plan at any time; it stays active until the end of the period already paid.
Captain carries out routine work on its own (for example answering, updating, checking and fixing). Before any action that costs you money or cannot be undone, Captain asks for your approval. Captain never deletes your data, changes your billing details, or shares your information on its own.
4. AI output
Captain and our AI agents use artificial intelligence models, including models provided by Anthropic. AI output can be inaccurate or incomplete. You remain responsible for decisions made on the basis of AI output and for content published on your channels. Content that Captain is set to publish publicly may be reviewed by you before publishing, according to your account settings.
5. Your accounts on other platforms
When you connect third-party accounts (for example Google, Meta, WhatsApp, or your website), you authorize SeaOpen to access and act on them only to provide the services you requested, and only within the permissions you granted. You can revoke access at any time from your account or from the third-party platform. Your use of those platforms remains subject to their own terms.
6. Payments & Subscriptions
- Billing: The Captain plan is billed monthly in advance, and wallet top-ups when you buy them. Payments may be processed by an authorized reseller acting as merchant of record, which then handles the payment, the invoice and the applicable sales tax or VAT; its name appears at checkout and on your invoice.
- Failed payments: If a payment fails and is not resolved, Captain's work pauses until it is, and resumes with your data intact.
- Taxes: Prices may be shown with or without sales tax or VAT according to your country; the amount due is shown before you pay.
Refunds and cancellations are described in our Refund Policy.
7. Intellectual Property Rights
- Our IP: SeaOpen retains all rights, title, and interest in and to our proprietary technology, Captain, AI models, code libraries, and pre-existing intellectual property used to deliver the services.
- Your IP: Content that Captain creates for your business is yours to use. You retain full ownership of your data and confidential information.
- We do not claim ownership of the content you provide to us. You represent that you own or have the rights to use all materials submitted to SeaOpen, including product catalogs, images and texts you ask Captain to work with.
8. Acceptable Use
You may not use the services to send spam, to mislead or defraud anyone, to infringe anyone's rights, to publish unlawful content, or in violation of the policies of Google, Meta, WhatsApp or any platform connected to your account. We may suspend tasks or accounts that do so.
9. Limitation of Liability
To the maximum extent permitted by law, SeaOpen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
SeaOpen's total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you to SeaOpen in the three (3) months preceding the event giving rise to the claim.
Marketing Performance: While we employ advanced strategies to drive results, SeaOpen does not guarantee specific rankings on search engines, specific ROI figures, or interaction volumes, as these depend on third-party platforms (Google, Meta, TikTok) outside our control.
10. Indemnification
You agree to defend, indemnify, and hold harmless SeaOpen LLC, its affiliates, licensors, and service providers, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including any content you provide.
11. Termination
You may cancel your subscription at any time from your account or by writing to us; it stays active until the end of the period already paid. No refunds are issued for partial months or for work already carried out, except as stated in our Refund Policy or where the law requires.
We may terminate or suspend your access to our services immediately, without prior notice or liability, if you breach these Terms.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Wyoming. Nothing in these Terms limits mandatory consumer protection rights you may have under the law of the country where you live.
